Terms of Service

1. Acceptance of Terms
By accessing, browsing, registering, or using the SaaS platform Turtle (hereafter "the Service", "Platform", or "Turtle"), which is developed and operated under Softrover SaaS Division, you enter into a legally binding agreement governed by these Terms of Service.
If you are registering an account on behalf of a company, organization, or another commercial entity, you represent and warrant that you hold full legal authority to bind that entity to these conditions. If you do not consent to all conditions specified in this agreement, you are strictly prohibited from using our services.
2. Merchant Eligibility & Registration
To register as a merchant and launch a digital storefront on Turtle, you must satisfy the following:
- You must be at least 18 years of age, or the legal age of majority in your jurisdiction of residence.
- You must complete the registration form providing true, accurate, and current contact details (authentication is integrated via Google and Supabase auth nodes).
- You must not have been previously suspended or removed from our platform for code of conduct violations.
3. Store & Account Security
You are solely responsible for maintaining the confidentiality and access keys of your merchant panel. All actions, orders, inventory updates, and billing requests executed under your profile are considered your legal responsibility.
In the event of a suspected security breach, unauthorized store modifications, or leaked API secrets, you must immediately notify the Turtle Security Desk. We are not liable for losses caused by poor account hygiene or compromise of your third-party credentials.
4. Fees, Payments & Billing
Turtle operates under a subscription model (SaaS). We provide detailed pricing lists indicating tier thresholds, layout templates, and bandwidth allotments.
- Recurring Billing: All fees are billed automatically in advance at specified intervals (monthly or annually).
- Taxes: Fees do not include regulatory local sales taxes, VAT, or withholding taxes unless stated otherwise. Merchants are solely responsible for compliance with their local tax obligations.
- Refund Policy: Except as provided by local consumer protection laws, subscription plan payments are non-refundable.
5. Permitted & Fair Use Code
Merchants are strictly prohibited from listing, advertising, or selling items that violate international laws or local regulations. Restricted and prohibited catalogs include, but are not limited to:
- Illegal substances, narcotics, prescription drugs, or unlicensed pharmacy items.
- Weapons, explosives, firearms, or hazardous chemical configurations.
- Counterfeit goods, replicas, or unlicensed intellectual property assets.
- Deceptive, fraudulent, or high-risk speculative schemes.
We reserve the absolute right to audit storefront catalogs and instantly suspend or delete storefront pages that violate these terms.
6. Intellectual Property Rights
Merchant Catalog Ownership: Turtle claims no ownership over the text, images, logos, or metadata files uploaded to your storefront. You retain full intellectual property rights to your store contents.
Platform Ownership: All code, design assets, database structures, UI templates, branding elements, and operational engines are the exclusive property of Turtle and Softrover. You may not copy, reverse-engineer, or mirror our software models without explicit written licensing.
7. Customer Order & WhatsApp Routing
Turtle provides tools that package checkout data and route customer requests directly to the merchant's WhatsApp line.
Because WhatsApp is a third-party application operated by Meta Platforms Inc., we cannot guarantee continuous delivery or message delivery times once the data leaves our web servers. Merchants are responsible for keeping their customer relationships intact and resolving order tracking inquiries directly.
8. Third-Party Integrations
The Platform may integrate with or link to third-party services (such as external payment providers, Google Analytics, or Supabase databases). Use of these external integrations is subject to the terms and privacy conditions of those respective providers. We accept no liability for discrepancies or outages occurring in third-party services.
9. Suspension & Termination
By You: You can close your store and request complete profile deletion at any time by accessing your dashboard panel.
By Us: We reserve the right to suspend, rate-limit, or terminate accounts immediately if we detect billing failures, violation of fair use rules, illegal storefront activities, or behavior that damages platform infrastructure.
10. Limitation of Liability & Warranties
Turtle is provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied.
To the maximum extent permitted by applicable law, in no event shall Softrover or Turtle be held liable for indirect, incidental, special, exemplary, or consequential damages (including loss of profits, data, or business goodwill) arising out of or related to storefront outages, service disruptions, or catalog loss.
11. Governing Law & Jurisdiction
These Terms of Service and any actions arising from them shall be governed by, construed, and enforced in accordance with the laws of the People's Republic of Bangladesh, without regard to conflict of law principles. All legal proceedings arising under this agreement must be submitted to the courts located in Dhaka, Bangladesh.
